**Position summary:**



Staples, Inc. is looking to hire a Corporate Paralegal in our Framingham headquarters. This associate will be responsible for corporate secretarial work and entity management (U.S. and International subsidiaries), as well as support of attorneys with general corporate, corporate governance and contract matters. Work will involve maintaining corporate records, overseeing legal entity formation/dissolutions, assisting with quarterly deliverables in connection with financial statement audits, and preparing and supporting business colleagues with reporting, certificates, document authentication and corporate seals. Additionally, this associate will play a key role in execution of internal corporate restructurings and acquisition integration, as well as provide support for M&A and financing transactions. The Corporate Paralegal will exercise independent judgment within stated parameters and will have direct relationships with internal customers, outside counsel and other third parties, under attorney supervision. This position will require excellent organization and interpersonal skills. We are looking for a candidate who is a self-starter and motivated to learn legal requirements in different jurisdictions and different businesses.



**Primary Responsibilities:**



+ Manage the corporate secretarys office, including the legal entity structure, corporate record books, and entity database. Responsible for all aspects of domestic and international legal entity maintenance. Coordinate legal entity formations, registrations, annual reports, mergers, and dissolutions. Work with outside counsel in foreign jurisdictions to maintain compliance with local legal requirements.

+ Serve as primary point of contact to clients (tax, treasury, accounting and business), outside counsel and other third parties (CSC Corporation and other secretarial services) regarding consolidated corporate structure. Serve as liaison with European colleagues performing a similar function.

+ Prepare standard intercompany documents (e.g. loans, contribution agreements, and dividends) and serve as primary legal contact for intercompany transactions, including coordination of outside counsel as needed.

+ Prepare entity lists, organizational charts and records required as part of quarterly financial reporting close process.

+ Respond to business requests for corporate authentication documents, including secretarys certificates, notarizations, apostilles, good standing certificates and corporate seals.



**Qualifications**

**Basic skills:**



+ Associate degree required

+ Minimum 3 years of paralegal experience in a corporate law firm or in-house setting.



**Preferred skills:**



+ Bachelors Degree preferred

+ Excellent written and verbal communication skills, and be able to write in a clear and concise manner. Must be able to summarize and present positions verbally during status meetings. She / he must also be able to train clients in use of entity management database and complying with local requirement.

+ Possess excellent judgment, knowing when to escalate issues to attorney level.

+ Attention to detail and issue spotting is necessary. Must be able to work independently on specific intercompany projects.

+ Capable of understanding the business details of each internal client and must be willing to self-educate and self-start in terms of keeping up with his/her respective clients business.

+ Highly refined computer skills, including proficiency in Word, Excel, PowerPoint, Vizio, and legal entity management systems. Associate must be computer and internet literate and have the ability to work in and maintain various databases, both internal and external.

+ Ability to maintain confidentiality requirements is key for all positions in the Legal Department, as is adaptability to support other legal workstreams outside core competencies.

+ Demonstrate strong interpersonal skills, be diplomatic, and flexible, and have the ability to interact effectively and engender trust and confidence with associates at many levels throughout the company. Must have the ability to help foster and succeed in team environment. Must also have the ability to succeed in a fast-paced and dynamic environment and to identify and implement opportunities to improve effectiveness and efficiency. Must be able to work independently and manage multiple projects simultaneously. Must have disciplined time management skills.
